Terms and Conditions for Fulfillment Services

1. Introduction
   • This agreement outlines the terms and conditions between [Handmade Items] (“Provider”) and the client (“Client”) for the provision of fulfilment services.
2. Scope of Services
   • The Provider agrees to receive, store, pack, and ship products as per Client’s instructions. Services include inventory management, order processing, and customer returns handling.
3. Client Obligations
   • The Client shall ensure that all products sent to the Provider comply with all applicable laws and Provider’s policies. The Client is responsible for insuring their inventory and providing accurate product details.
4. Pricing and Payment
   • Fees for services will be as per the agreed pricing structure. Payments are due within 7 days of invoice issuance. Late payments may incur additional charges.
5. Inventory Management
   • The Provider is responsible for maintaining accurate inventory records. The Client must reconcile their inventory regularly.
6. Shipping and Delivery
   • The Provider will endeavour to ship orders in a timely manner. Shipping terms will be in accordance with Provider policies.
7. Returns and Refunds
   • Returns will be processed as per Provider’s return policy. The Provider will facilitate the return process but is not responsible for the cost of returns unless due to Provider’s error.
8. Liability and Indemnification
   • The Provider’s liability for any loss or damage to Client’s products is limited to the amount paid by the Client for the items as valued by the Provider. The Client agrees to indemnify the Provider against all claims arising from the sale of their products.
9. Confidentiality
   • Both parties agree to keep all confidential information received during the course of the agreement confidential.
10. Termination
    • This agreement may be terminated by either party with 14 days written notice. Upon termination, the Client must arrange for the removal of their inventory.
11. Governing Law
    • This agreement is governed by the laws of United Kingdom.
12. Amendment and Waiver
    • Any amendment to these terms must be in writing and signed by both parties. Failure to enforce any provision of this agreement shall not be deemed a waiver.
13. Entire Agreement
    • These terms constitute the entire agreement between the parties regarding the subject matter.
